Corporate failure and ethical resources: a case study of Steinhoff and Carillion

- Description: This study aimed to investigate the impact of disregarding ethical resources on company performance, with a particular focus on Carillion and Steinhoff as case studies. A pragmatist research philosophy was employed using a mixed methods approach, utilizing deductive inferencing to produce archival research. Data was collected from annual financial statements and existing literature on Steinhoff and Carillion's corporate failures. Both content analysis and statistical analysis were employed to analyse the data. The study found that both Carillion and Steinhoff were at the top of their respective industries when they began to underperform due to poor governance. On the part of Carillion, much of its failure can be attributed to aggressive bidding, while for Steinhoff, its failure was due to unscrupulous accounting practices. Corruption and fraud at the top echelon of each of these respective companies began to trickle down to the bottom of the hierarchy. Additionally, Steinhoff used a two-tier board system that promotes information asymmetry between a management board and a supervisory board. This gave Steinhoff’s management board leverage to manipulate company reports and hide information from the supervisory board. Steinhoff equally violated the board’s independence by making former management executives part of the supervisory board, who could potentially be lenient to the management board due to past relationships. This was further exacerbated by the CEO duality, which contributed to Steinhoff’s lack of board independence. Furthermore, Steinhoff’s board was reported to have served as board members for a long time, eventually leading them to create a group culture that negatively affected its board’s independence. Different from Steinhoff, which lacked board independence and board diversity, at face value, Carillion appeared to have a predominantly independent board with diverse experience and external commitments. However, Carillion also lacked board independence in a different way, as some of its board members were previously employed by KPMG. KPMG was also the external auditor of Carillion. This created a scenario where Carillion and KPMG were conniving, which may have affected the objectivity of the external audits on financial performance. Further to this, the CEO held outsized power over the board, which could have also resulted in a lack of independence. This, in turn, facilitated corrupt behaviour within the organisation, which may have contributed to its corporate failure. iv The findings of the study highlight the following three conclusions: i) profits that are premised on reckless, irregular, and fraudulent business and accounting practices are not sustainable; ii) governance structures that do not adhere to sound corporate governance principles result in impaired board independence and negatively affect firm performance; and iii) companies that reach the pinnacle of their success through unethical conduct are ultimately short-lived. , Thesis (MBA) -- Faculty of Commerce, Rhodes Business School, 2023

The specific objectives of this study were to evaluate African Bank and VBS bank's operational risk management processes and controls, the role of ethical failures at VBS bank and African Bank; and assess how the failures affected their stakeholders. The population sample of the study included African Bank and VBS. The study adopted a qualitative research method. Existing reports from both African Bank and VBS were used to collect data. The study adopted a thematic data analysis method, which includes data coding and the development of themes. The data analysis framework was derived from a defined set of research propositions and seven (7) themes were derived from this analysis method. The failure in operational controls of both banks and ineffective risk management structures including unethical conduct by the executive management and board of VBS bank, irregular financial transactions and weakened external auditing function resulted in an unaccountable executive relationship and reckless lending decision-making. This research study will expand on the existing body of knowledge on the failures and near-failures of banks in the South African banking sector. - Description: There are many examples of institutions which have made false claims, or performed certain acts, that have had, to varying degrees, a negative impact on their societies. For example, many corporations go to great lengths to present themselves as being environmentally friendly when in fact they are not. Many corporations have also been forced to recall dangerous products which they at one time or another insisted were safe. Research teams have misled participants with regard to what they can expect from their participation in studies, with grave consequences. Governments throughout the world are mired in corruption, and yet deny that this is so. One possible explanation is that in such situations these institutions are simply lying. However, another possible explanation is that these institutions are self-deceived, or lying to themselves. Recently it has been suggested that self-deception is something that affects certain groups as well as individuals. Given that institutions can wield a great deal of political, social and economic power, if institutions are capable of self-deception there is room for things to go awry on a very large scale with potentially dire consequences. Yet the explanations currently on offer for group-level self-deception appear to amount to instances of individual self-deception (either to certain key individual members of those groups being self-deceived, or to all or most members of a group sharing the same self-deceptive belief), and as such I do not regard the explanations currently on offer as satisfactory. I propose that there are certain situations in which we ought to see institutions themselves as self-deceived or lying to themselves. While the terms ‘self-deception’ and ‘lying to oneself’ are often used interchangeably, I differentiate between the two and argue that both institutional self-deception and an institution lying to itself are institution-level phenomena, and do not rely on any individual within the institution being self-deceived or lying to themselves. Social learning and social exchange theory informed the study. The research employed a qualitatve approache to improve the validity,reliability and credibility of the research findings. key informnat intervews and focus group of discussion and in-depth interviews were used as data collection instruments. The study found that ethical leadership development programmes improve the perfomance of orgnisations. That is, ethical leadeship development enbaled Econet Wireless Zimbabwe to achive disticinive competence, increase profit, have a large number of subscribers and also expanded among others. Furthermore, the study shows that an ethical leadership development approach brings significant value to the organisation and, suggests that ethical leaders are more influential in organizations than currently understood. The study found that leaders could influence ethics related outcomes in the organisation by engaging in behaviours that makes them perceived as credible, attractive and legitimate by their followers.

This empirical study aimed to investigate the role of human resource management (HRM) in developing ethical organisations in the liquor industry. The study had three main objectives. Firstly, to investigate the awareness and importance of ethics in the liquor industry. Secondly to investigate which human resource interventions were being used in the liquor industry to promote ethics and lastly, to propose strategies to assist in establishing and reinforcing an ethical climate in organisations operating in the liquor industry. The research was gathered from the liquor industry quantitatively by adapting the ethics questionnaire developed by Lloyd and Mey (2010, p. 206). Non-probability sampling was used to include 92 sales managers from 13 different organisations located throughout South Africa. Data was analysed qualitatively by using descriptive and inferential statistics. Validity of the research was carefully managed and the reliability of the questionnaire analysed by a statistician. Ethical considerations, as well as the value of the study and its limitations will be included. The results showed that top management was seen as the most important role players in establishing an ethical organisation, and that the human resource department was regarded as most important. However, a significant lack of HRM intervention implementation was observed. Although organisations provided a significant number of interventions, they only had limited effect on the day to day operations. The lack of the creation and establishment of ethics committees and ethically based reward systems were found to be consistently lacking throughout the industry. An implication of this study is that there exists significant scope for the liquor industry to become leaders in the field of ethics. For this to happen top management should openly commit to ethics and ensure that the day to day operational policies and practices reflect the aims of an ethical climate.

Misconduct is a common phenomenon in the business environment, even in the face of increased regulation, and the adoption of codes of conduct by organisations. This impacts negatively on organisations’ reputations, results in financial loss, and has a negative impact on the sustainability of businesses. While researchers suggest that codes of conduct should reduce misconduct and improve the ethical culture of organisations, mixed research results suggest codes of conduct are not always effective. While research into code of conduct effectiveness proliferates, seldom does such research take a holistic approach to understanding effectiveness of codes of conduct. Models proposed to better research code of conduct effectiveness, such as Kaptein and Schwartz’ (2008) integrated research model, do not present guidelines for better developing and implementing codes of conduct. Therefore the primary research objective was to develop a benchmarking framework which could provide insight into factors that could influence code of conduct effectiveness, and provide guidelines on how these factors should be influenced and accounted for to improve code of conduct effectiveness. Content of codes of conduct can play an important part in code of conduct effectiveness, yet they vary enormously in terms of provisions, language, tone, style, design. Some are directional or rules based, others aspirational, or values based. Bettcher, Deshpandé, Margolis and Paine (2005) developed the Global Business Standards Codex that depicted the most commonly found provisions in organisations they surveyed. A secondary research objective was therefore to apply this codex to the evaluation of participating organisations codes of conduct, and in so doing, evaluate the suitability of the codex as a benchmarking framework for the content of the code of conduct. Religion was identified as one of the significant contributing elements that form part of individuals’ underlying values that are used to make numerous value-based decisions. Because SME owner-managers that adhere to the Christian faith constitute a fairly large segment of society in the Western World, a study of this nature can be regarded as a worthwhile undertaking that provides valuable insights related to how and to what extent this particular group of economic actors merge religious convictions with business operations. The research was set up in such a way that SME owner-managers in South Africa, who were self-proclaimed Christians and broadly defined as members of the Protestant tradition, constituted the sample participants. The methodology regarded as most suitable was a qualitative, grounded-theory approach whereby interviews were conducted along the lines of a semi-structured interview schedule. An openended exploratory strategy was adopted that allowed respondents to convey their thoughts and ideas pertaining to the research phenomenon from their personal perspectives. A number of conceptual and linguistic frames offered by the respondents – that gave language to the way they rationalised their faith in the context of managing their businesses – were recorded. A total of sixteen major themes and an additional eight sub-themes emerged from the data. The themes recorded and analysed were: faith, grace, calling, stewardship, kingdom, holiness, discipleship, discernment, love, relationship, anointing, inseparable dimensions of life, the Christian life journey, money, cultural perspectives and biblical principles, including the centrality of the Bible, integrity and honesty, sowing and reaping, humility, forgiveness, power of the tongue, importance of prayer and the centrality of Christ. The research findings revealed that a correct understanding of the Christian identity as well as a correct application thereof is crucial in successfully incorporating Christian ideals in the market. Full integration of the Christian identity plus an internalisation of God’s purposes and principles create an inner sense of direction that is less focused on external moral guidelines and codes of conduct – the phrase living from the inside out’ seems appropriately fitting to describe a group of economic actors who pursue their business careers with a sense of calling coupled with a belief that their commercial whereabouts are distinctively linked to a transcendent objective. In addition, general business administration guidelines, where the issue of religious affiliation per se is of no particular consequence, allow for the integration of the value concepts uncovered through the study by way of the corporate governance framework as contained in the King III report – particularly with reference to business practice interventions related to the formulation and implementation of core organisational values and moral codes.

Medical schemes fraud : ethical investigation of medical practitioners as stakeholders

In addition, the medical schemes industry remains riddled with fraud, this coupled with escalating private healthcare costs remain subsequent threats to the sustainability of the industry. It is reported that service provider fraud has surpassed fraud committed by scheme members. Most medical schemes appear to have policies in place to manage and combat fraud, however transparency in terms of information sharing remains elusive. Of greater concern have been the investigation and management ethicality and endgame of medical schemes in terms of fraud risk management amongst medical practitioners. The research problem states that there is currently no standard fraud investigation and management protocol available for the ethical investigation and management of medical schemes fraud committed by medical practitioners. The literature review demonstrated that there has been a paradigm shift regarding the expectations that society has of the modern corporation and emphasised the inclusive stakeholder model theory in favour of the traditional shareholder dictum: pursuit of profit maximisation at any cost. The research design was done by providing a survey questionnaire to private medical practitioners. The literature review and survey findings highlighted the need for medical schemes to pay greater heed to their ethicality and stakeholder issue management practices. Focus areas for the development of an industry standard fraud investigation and management protocol was recommended.

When looking at the South African society and the statistics that says that 80 percent of the population is Christian but on the other hand we are confronted within this country with increasing incidents of corruption in private companies as well as in public services. Why would that be the case? This study seeks to understand if Christianity or the local church really makes an impact on the lives of its members. The research starts of by looking at behaviour in general and what constitute to good ethical decision-making. In the study on Christian ethics it becomes clear that there is a strong appeal in the Bible on ethical behaviour. The Bible goes as far as to claim that, when in a relationship with the Lord, the followers will show His character in the way they live at home and the way they behave and make ethical decisions at the workplace. This study used focus groups to research the role of the local church in changing behaviour. The study finds that Christianity per se does not change the behaviour of church members. The church members‘ definition of the church largely determines the impact the church will have on their lives. In the study on the Christian ethics it was clear that ethics were seen as something that was formed in communities and not by rules or regulations. It was not a case of people telling others what to do and what not. It was more a case of mentors that helped others to live differently in community with others. The study finds that when the local church is build on relationships and if there is a strong sense of community, the church has a huge impact on the lives of its members. This suggests that the local church should be more focused on strong and intimate relationships and not so much on the church as organisation or institute. This is also important for the businesses that will employ these members because they will make better ethical decisions.

- Description: Corruption and unethical management is a legitimate global economic concern as it can have a direct and substantial impact on the longevity and the economic success of an organisation, an industry and a country. As a result of individuals having more readily available access to information, much attention has been given to unethical behaviour and organisational ethical violations over the last decade. Recent events have indicated that business ethics is an organisational concern with mammoth implications for business. For example, Esterhuyse (1999, p. 27) reports that South Africa has lost astronomical amounts of money due to office or white-collar crime. Organisations’ attempts to become globally competitive will be hampered by the behaviour of employees who are unethical at work. Therefore, it is imperative that organisations implement measures to increase ethical awareness and behaviour in their employees. This research study deals with business ethics in the automotive cluster of the Eastern Cape Province and proposes a model that can assist an organisation in improving its ethical culture. The main question that this research study addressed was: To what extent do the strategies of human resource departments contribute to establishing and maintaining an ethical organisational culture? To answer the above question it was necessary to address the most universal characteristics of ethical organisations. To this end the role of the human resource department in attempting to develop and sustain an ethical organisational culture is discussed. Thereafter, various ethical models are outlined and evaluated. Lastly, the proposed ethical model for establishing an ethical organisational culture is presented. Based on the theoretical findings of the literature survey which outlined the characteristics of ethical organisations and the interventions required to improve the ethical functioning of an organisation, a questionnaire was developed and distributed to organisations within the automotive cluster in the Eastern Cape Province. The empirical results obtained from the survey indicated dominant consensus regarding the model (see Chapter Four). The main findings from this research are that 74.7 per cent of organisations that participated in the empirical study had implemented a code of ethics. However, the majority of these organisations had not implemented the identified critical and optional interventions (see to Chapter Four) required to operate as an ethical organisation. The study also revealed that 49.4 per cent of respondents believed that the human resource manager is responsible for organising and coordinating an ethical initiative within the organisation. Respondents in this study stated that the benefits of operating ethically are the improved financial position of the organisation (76.5 per cent), the enhanced morale of employees (95.3 per cent), positive stakeholder perception (93 per cent), better long-term strategic sustainability (94.3 per cent) and superior social responsibility (85.9 per cent).
